Confirm managed AI terms.

These Managed AI Subscription Terms ("Terms") describe the baseline terms for a managed AI subscription with AI-Untapped. Final subscription details, pricing, service limits, included systems, usage allowances, and third-party costs are confirmed in a separate written scope, proposal, or subscription agreement.

1. Managed AI Service

AI-Untapped provides engineering, setup, configuration, deployment, monitoring, maintenance, and improvement services for custom AI agent systems, workflows, automations, integrations, AI-enabled tools, internal applications, and related software within the agreed subscription scope.

The service is intended to provide managed AI engineering capacity for your business. It is not a guarantee that every requested system, workflow, integration, application, tool, or automation can be built within the base subscription price or timeline.

2. Scope and Prioritization

Subscription work is managed through an agreed scope and prioritized work queue. AI-Untapped may recommend sequencing, simplifying, replacing, delaying, or declining work when needed for feasibility, reliability, security, maintainability, or business value.

Larger environments, unusually complex integrations, regulated workflows, larger custom applications, custom software beyond the agreed scope, and additional active systems may require custom pricing, a multi-month implementation scope, or a separate written agreement.

3. Included Agent Infrastructure and Separate Usage Costs

For AI-Untapped agent deployments, the base monthly management fee includes the normal servers, hosting, monitoring, maintenance, and routine AI usage needed to run the agent systems AI-Untapped deploys and operates for you.

Unless expressly included in writing, pay-by-usage costs for your own AI API usage, enterprise platform implementations, client-owned infrastructure, large third-party vendor contracts, premium tools, telephony charges, unusual high-volume usage, and similar outside service costs are separate from the base monthly management fee. These costs may be billed separately, paid directly by you, or included under custom pricing when agreed in writing.

4. Customer Responsibilities

You are responsible for providing accurate business context, timely feedback, access to required systems, permission to connect tools, and appropriate internal review of AI-assisted outputs and workflows. Delays, incomplete information, unavailable systems, or withheld access may affect delivery, usefulness, or ongoing operation.

5. Human Review and Business Decisions

AI systems can produce inaccurate, incomplete, outdated, biased, or unexpected outputs. You are responsible for deciding where human review, approval, supervision, escalation, or audit processes are required for your business.

6. No Regulated Advice

AI-Untapped provides business, technical, and operational engineering services. AI-Untapped does not provide legal, tax, accounting, investment, insurance, medical, HR, cybersecurity, or compliance advice.

7. Sensitive Information

Do not provide regulated, confidential, employee, customer, payment, health, legal, credential, security, trade-secret, or other sensitive information unless an appropriate handling process has been agreed in writing. Credentials should only be shared through an approved secure method.

8. Subscription Changes and Cancellation

Subscription terms, renewal periods, cancellation rights, refunds, minimum commitments, and transition assistance are governed by the final written subscription agreement or invoice terms. Unless stated otherwise in writing, monthly subscription fees reserve professional capacity and may be non-refundable once a billing period begins.

If a larger application, tool, workflow, or agent system is scoped to take multiple billing periods, cancellation or non-renewal before that work is complete may result in an unfinished or partially usable deliverable unless separate written completion terms are agreed.

9. No Guaranteed Outcome

AI-Untapped will use professional engineering judgment and commercially reasonable efforts, but does not guarantee a particular financial result, ROI, revenue increase, cost reduction, system uptime, model output, vendor behavior, timeline, or business outcome.

10. Separate Written Terms Control

If a signed proposal, statement of work, subscription agreement, invoice, or other written agreement conflicts with these baseline Terms, the signed or service-specific written agreement controls for that managed subscription.
